These Terms of Service (the "Terms") are a binding agreement between you and Peacemaker Sports Officials, LLC, an Arizona limited liability company doing business as Byde Sports ("Byde Sports," "we," "us," or "our"), governing your access to and use of the Byde Sports mobile application, the website at bydesports.com, and related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 17) THAT AFFECT YOUR LEGAL RIGHTS. By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. What Byde Sports Is (and Is Not)

Byde Sports is a technology platform that connects independent sports officials ("Officials") with sports leagues, organizations, and their administrators ("Leagues") that need games officiated. Through the Services, Leagues post game assignments, and Officials may view and claim those assignments.

Byde Sports is a marketplace, not an employer, staffing agency, or officiating association. We do not employ Officials, direct or control how Officials perform officiating services, guarantee the availability, quantity, or quality of game assignments, or guarantee that any particular Official will be available for any game. The officiating relationship for any game is between the Official and the applicable League.

2. Eligibility and Accounts

2.1 Age. Byde Sports does not set a minimum age to create an account. Before you can claim a game, your identity is verified (Section 4.1), and we confirm your age as part of that verification. Leagues and applicable law may set minimum ages for officiating particular games, and you may claim only games you are eligible to officiate. If you are under 18, you may use the Services only with the permission of a parent or legal guardian, who agrees to these Terms on your behalf. The Services are not directed to children under 13.

2.2 Account registration. You must provide accurate, current, and complete information when creating an account and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2.3 One account; no transfers. You may maintain only one account, which is personal to you and may not be sold, transferred, or shared.

2.4 Role-based access. Certain features are available only to League administrators or platform administrators. You agree not to access or attempt to access features not intended for your role.

3. Independent Contractor Relationship

Officials are independent contractors of the Leagues for which they officiate (or of their assigning bodies, as applicable). Nothing in these Terms or the Services creates an employment, agency, joint venture, franchise, or partnership relationship between Byde Sports and any Official or League. Officials: (a) choose which assignments to claim; (b) provide their own equipment and uniforms unless a League specifies otherwise; (c) are responsible for their own taxes, insurance, licenses, and certifications; and (d) are not entitled to any employee benefits from Byde Sports.

4. Game Assignments, Claims, and Drops

4.1 Claims. When an Official claims a game, the Official commits to officiate that game at the posted time, location, and rate. Only Officials whose identity, SafeSport training, and background check have been verified through the Services (Section 6) may claim games. Claiming is also subject to eligibility requirements set by the League (for example, required certifications) and to platform rules (for example, schedule-conflict checks).

4.2 Drops and replacements. Officials may release ("drop") a claimed game through the Services. Dropping a game within 48 hours of its scheduled start time is a "Late Drop" and negatively affects the Official's Reliability Score (Section 5) and platform standing. Currently, four Late Drops within an Official's 30 most recent assignments pause that Official's claiming privileges for 10 days.

4.3 No-shows. Failing to appear for a claimed game without dropping it (a "No-show") is a material violation of these Terms. A confirmed No-show weighs more heavily against the Official's Reliability Score than a Late Drop and pauses claiming privileges for 14 days. Repeated No-shows may result in suspension or termination of your account, in addition to any consequences imposed by the League. Leagues report No-shows to support@bydesports.com within 7 days of the game. We review each report and give the Official a chance to respond before confirming it; only a confirmed No-show affects the Reliability Score or claiming privileges.

4.4 Cancellations by Leagues. Leagues may cancel or modify games. Byde Sports is not responsible for cancelled or modified games, though we will make reasonable efforts to notify affected Officials through the Services.

4.5 Completion. A claimed game is treated as completed once its scheduled end time passes, unless the Official, the League, or Byde Sports reports otherwise (for example, a No-show or a cancelled game). Completed games count toward the Official's metrics and earnings records.

5. Reliability Score and Platform Metrics

The Services compute and display engagement and reliability metrics for Officials, including a reliability score derived from factors such as completion history, drop behavior (including Late Drops and No-shows), volume of completed games, length of officiating history, and activity streaks. You acknowledge that: (a) these metrics are computed automatically from your activity on the platform and information you or administrators provide; (b) metrics may affect your visibility, standing, and access to certain features; (c) verified information (Section 6) may be weighted differently than unverified, self-reported information; and (d) while we strive for accuracy, metrics are provided "as is" and may be adjusted, recalculated, or corrected at any time. 6. Credentials, Verification, and Background Screening

6.1 Submissions. Officials may submit documentation of certifications, licenses, officiating history, or references ("Credential Submissions"). You represent and warrant that everything you submit is truthful, accurate, current, and yours. Submitting falsified, altered, or another person's documents is grounds for immediate termination.

6.2 Review. Credential Submissions are reviewed by authorized platform administrators and may be processed with the assistance of automated tools (including AI-based document reading) as described in our Privacy Policy. Verification decisions are made at our reasonable discretion, and verification may be revoked if we later learn a submission was inaccurate.

6.3 No endorsement. A verification badge or verified status reflects only that submitted documentation was reviewed; it is not a guarantee, endorsement, or certification of any Official's skill, safety, or fitness, and Leagues remain responsible for their own eligibility requirements.

6.4 Screening. Claiming games requires verified identity, SafeSport training, and a background check (Section 4.1), and Leagues may impose additional requirements. Where third-party screening providers are used, their terms and privacy policies will also apply.

6.5 Background-check fee. Officials are responsible for the cost of the background check required to claim games. Before a background check is ordered through the Services, we will tell you the fee and how it will be collected. No fee applies if you provide a background check from a provider we recognize that was completed within the previous 12 months.

7. Payments

7.1 Rates. Game rates are set by Leagues and displayed in the Services. Rates may vary by sport, level, and other factors.

7.2 Leagues pay Officials. Unless a payment feature in the Services states otherwise, the League pays the Official directly for each game. Earnings and payout information shown in the Services is a record of game pay based on League rates and game status. It does not mean that Byde Sports has received, holds, or owes those funds, and Byde Sports is not responsible for a League's failure to pay.

7.3 Processing. Where the Services offer a payment feature, payments to Officials may be processed through third-party payment processors. By using payment features, you agree to the processor's terms, and you authorize us and the processor to share information as needed to process payments, prevent fraud, and comply with law. Byde Sports is not a bank, money transmitter, or fiduciary.

7.4 Taxes. Officials are solely responsible for reporting and paying all taxes on amounts earned. Where required by law, we or our payment processor may collect tax information and issue tax forms (for example, Form 1099).

7.5 Errors and disputes. Payment disputes between an Official and a League regarding officiated games should first be raised with the League. We may, but are not obligated to, assist in resolving payment disputes. Report suspected payment errors within 30 days of the payout at issue to support@bydesports.com.

You retain ownership of content you submit to the Services (profile information, documents, messages, and other materials, collectively "User Content"). You grant Byde Sports a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, and transmit User Content solely to operate, secure, and improve the Services and as otherwise described in the Privacy Policy. You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.

10. Privacy

Our collection and use of personal information is described in the Byde Sports Privacy Policy at bydesports.com/privacy. By using the Services, you acknowledge the Privacy Policy.

11. Intellectual Property

The Services, including all software, designs, logos, text, graphics, and data compilations (excluding User Content), are owned by Byde Sports or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app on your personal device for its intended purpose. You may not copy, modify, distribute, sell, lease, or create derivative works of the Services except as permitted by law. All rights not expressly granted are reserved. "Byde Sports" and associated marks may not be used without our prior written consent.

12. Third-Party Services

The Services may interoperate with third-party services (for example, payment processors, mapping providers, calendar and notification services, authentication providers). Your use of third-party services is governed by their terms, and we are not responsible for third-party services, content, or acts or omissions.

13. Suspension and Termination

13.1 By you. You may stop using the Services at any time and may delete your account in-app (Profile → account deletion) or by contacting hello@bydesports.com.

13.2 By us. We may suspend or terminate your access, remove content, or decline to verify credentials at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, other users, or Leagues, or where required by law. Automated suspensions (for example, claiming pauses following repeated Late Drops or a No-show, as described in Sections 4.2 and 4.3) operate as described in the Services.

13.3 Effect. Upon termination, your license to use the Services ends. Sections that by their nature should survive (including Sections 3, 5, 9, 11, and 14–19) survive termination. Obligations for games already officiated (including payment obligations of Leagues) are unaffected by termination of these Terms.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, BYDE SPORTS DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY ASSIGNMENT, OFFICIAL, LEAGUE, RATE, SCORE, OR VERIFICATION STATUS IS ACCURATE OR RELIABLE; OR (C) ANY PARTICULAR VOLUME OF ASSIGNMENTS OR EARNINGS WILL BE AVAILABLE. OFFICIATING INVOLVES INHERENT RISKS, INCLUDING PHYSICAL INJURY; YOU PARTICIPATE AT YOUR OWN RISK, AND BYDE SPORTS IS NOT RESPONSIBLE FOR CONDITIONS AT GAME VENUES OR THE CONDUCT OF ANY LEAGUE, OFFICIAL, PLAYER, COACH, OR SPECTATOR. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) BYDE SPORTS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) BYDE SPORTS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) ONE HUNDRED U.S. DOLLARS (US $100) AND (ii) THE AMOUNTS YOU PAID TO US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnification

You agree to defend, indemnify, and hold harmless Byde Sports and its officers, members, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your officiating services or attendance at any game; (c) your User Content or Credential Submissions; (d) your violation of these Terms or applicable law; or (e) your violation of any third party's rights.

17. Dispute Resolution; Arbitration; Class Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS.

17.1 Informal resolution first. Before filing a claim, you and we agree to try to resolve the dispute informally: send a written notice describing the dispute to hello@bydesports.com, and we will attempt in good faith to resolve it within 60 days.

17.2 Binding arbitration. Except as provided in Section 17.4, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in Maricopa County, Arizona, or, at your election, remotely or in your county of residence. Judgment on the award may be entered in any court of competent jurisdiction.

17.3 Class action waiver. ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court.

17.4 Exceptions. Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or unauthorized access to the Services.

17.5 Opt-out. You may opt out of arbitration by emailing hello@bydesports.com within 30 days of first accepting these Terms, with your name, account email, and a statement that you opt out of arbitration.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules. Subject to Section 17, any dispute not subject to arbitration must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.

19. General

19.1 Changes to the Services. We may modify, suspend, or discontinue any part of the Services at any time.

19.2 Changes to these Terms. We may update these Terms from time to time. Material changes will be notified through the Services (for example, an in-app notice) or by email, and the "Last updated" date will change. Continued use of the Services after changes take effect constitutes acceptance. If you do not agree to updated Terms, stop using the Services and delete your account. Changes to Section 17 will not apply to any dispute that either party had already raised under Section 17.1 before the change took effect.

19.3 Notices. We may provide notices through the Services or to your account email. Legal notices to us go to hello@bydesports.com or 38 West Colter Street, Phoenix, Arizona 85013.

19.4 Entire agreement; severability; waiver. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services and supersede prior agreements on that subject (except any separate written agreement between Byde Sports and a League, which controls as to its subject matter). If any provision is found unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver.

19.5 Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets, including to a successor company formed to operate Byde Sports.

19.6 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

19.7 App-store terms. Your use of the app is also subject to the applicable app marketplace's terms (for example, the Apple App Store). Apple is not a party to these Terms and has no obligation to provide support for the app.
